References to “PassivAi®”, “PassivAi® Ltd”, “the business” or “the company” mean PassivAi® Ltd. References to “you” or “your” mean the person or business purchasing, accessing, downloading or using PassivAi® digital content.
These terms and policies apply to PassivAi® Ltd websites, digital products, landing pages, checkout pages, forms, downloads, automations, email systems, communities and related online services operated by or connected to PassivAi® Ltd.
This includes, but is not limited to:
It may also include related product pages, course pages, checkout pages, lead magnet pages, download pages, automation forms, community links and campaign pages connected with those domains.
If a specific website, product, checkout page or service displays separate terms, privacy information, refund rules or licence terms, those specific terms will apply to that website, product or service alongside these general policies.
This agreement applies to PassivAi® digital content and licensed materials, including:
This agreement should be read alongside the Terms and Conditions, Privacy Policy, Cookie Policy and any product-specific terms shown at checkout or on the product page.
Purchasing or accessing a PassivAi® digital product grants a limited, non-exclusive, non-transferable, revocable licence to use the product in line with this agreement.
This means the purchased materials may be used for internal personal or business purposes, subject to the restrictions set out below.
Purchasing a product does not transfer ownership of the product, copyright, trade marks, design rights, frameworks, methodology, source materials or intellectual property.
Unless the product page states otherwise, PassivAi® licensed materials may be used for:
Where a product is purchased as a business, the licence applies to that business only, unless the product page clearly states that team, agency or multi-user use is included.
Without written permission from PassivAi® Ltd, licensed materials must not be:
Login details, download links, course access and account access must not be shared with another person or business. Software, tools, scripts or apps must not be reverse engineered, decompiled, disassembled, or have their source code extracted, unless legally permitted. PassivAi® intellectual property must not be used in a way that suggests endorsement, partnership or ownership where none exists.
Many PassivAi® products are supplied with instant digital access. Once access has been provided, downloaded, opened or made available, change-of-mind refunds are not available where immediate access has been agreed to and the loss of the cancellation right acknowledged.
Where a PassivAi® product is supplied as instant digital content, access is provided before the end of the usual 14-day cancellation period, and the right to cancel for change of mind is lost once that access has been given. This applies to digital downloads, templates, PDFs, prompt packs, AI resources, software assets, courses, memberships, training materials, files and other instant-access digital products.
This does not affect statutory rights. If a digital product is faulty, misdescribed or not supplied, contact PassivAi® Ltd so the issue can be reviewed. Where required by law, a repair, replacement, price reduction or refund will be provided.

Some products are delivered by download link, email, course platform, membership area, customer account, third-party platform or another digital access method.
Account details, passwords, download links and access credentials must be kept secure, and must not be shared with another person, business, team, client, contractor or third party unless the product licence specifically allows it.
Access may be suspended, restricted or removed where there is suspected misuse, non-payment, unauthorised sharing, breach of this agreement, a security concern or fraudulent activity.
Some PassivAi® products include AI prompts, skills.md files, AI training instructions, strategic frameworks, automation guidance or materials designed for use with third-party AI tools.
AI outputs can be inaccurate, incomplete, outdated or unsuitable for a specific situation. Any AI-generated output should be reviewed, checked, edited and approved before being relied on, published, sent to customers or used in a business.
PassivAi® Ltd does not guarantee that any AI-generated output will be legally compliant, factually accurate, profitable, platform-safe, original, suitable for a given industry or accepted by any third-party system.
Where a product includes software files, scripts, calculators, tools, apps, automation blueprints, code snippets or technical implementation resources, these are provided for use in line with the product instructions.
Any software, automation, script, integration or workflow should be tested before use in a live business environment. PassivAi® Ltd is not responsible for damage, data loss, platform issues, account restrictions, failed automations or business interruption caused by incorrect setup, third-party platform changes, unsupported modifications or misuse.
PassivAi® products may mention, integrate with or provide guidance for third-party tools, including AI platforms, automation platforms, payment processors, email providers, website builders, course platforms, analytics tools and CRM systems.
Third-party tools are operated by their own providers and are subject to their own terms, pricing, access rules, platform limits and policies. PassivAi® Ltd is not responsible for third-party platform changes, downtime, errors, restrictions, pricing changes, account closures, rejected content, API changes or integration issues.
All PassivAi® products, content, training materials, downloads, prompts, frameworks, methods, templates, brand assets, graphics, text, layouts, software resources and digital files remain the intellectual property of PassivAi® Ltd or its licensors.
PassivAi® is a registered trade mark. The registered trade mark number is UK00004131150.
PassivAi® branding, names, logos, product names, trade marks, frameworks or visual identity must not be used in a way that suggests ownership, endorsement, partnership, certification, affiliation or authorisation unless written permission has been given.
Unless a product page clearly states that resale rights, private label rights, master resale rights, agency rights or white-label rights are included, no such rights are granted.
This means PassivAi® materials may not be sold, bundled, shared, licensed, given away, uploaded, published, converted, rebranded or distributed as part of another offer.
For commercial resale, team, agency or client-use rights, contact PassivAi® Ltd before using the materials in that way.
PassivAi® Ltd may update, improve, revise, replace or retire products, files, templates, prompts, courses, tools and digital resources from time to time.
Unless lifetime updates are clearly included on the product page, purchasing a product does not automatically include entitlement to all future updates, versions, expansions, bonuses or replacement products.
Responsibility sits with the purchaser for:
PassivAi® products and resources are provided for general educational, business, marketing, automation and digital implementation purposes. They are not legal, financial, tax, accounting, medical, employment or professional advice.
Advice should be sought from a suitably qualified professional before making decisions that may affect a legal, financial, tax, contractual or business position.
PassivAi® products may provide strategies, templates, prompts, systems, tools and guidance intended to support business development, marketing, automation or digital product creation.
Results depend on implementation, offer, market, audience, pricing, traffic, skills, timing, resources and other factors outside the control of PassivAi® Ltd. No income, sales, profit, ranking, traffic, conversion, customer growth, productivity gain or business outcome is guaranteed.
Nothing in this agreement excludes or limits any rights that cannot legally be excluded or limited, including statutory rights under UK consumer law.
Digital content must be as described, fit for purpose and of satisfactory quality. If a digital product is believed to be faulty, misdescribed or not supplied, contact PassivAi® Ltd at support@passivai.com.
PassivAi® digital products, software assets, templates, AI resources, prompts, courses, downloads and related materials are provided on an “as is” and “as available” basis to the fullest extent permitted by law.
Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot legally be excluded.
To the fullest extent permitted by law, PassivAi® Ltd will not be liable for:
If you are purchasing as a consumer, this clause does not affect your statutory rights.
This licence may be terminated for breach of this agreement, misuse of the materials, sharing access without permission, infringing intellectual property rights, failing to make required payments or unlawful use of the materials.
If the licence is terminated, use of the relevant materials must stop, and any copies must be deleted or destroyed where reasonably requested.
No refund will be due where access is removed because of misuse, unauthorised sharing, infringement, fraud, non-payment or breach of this agreement, except where required by law.
PassivAi® Ltd may update this End User Licence Agreement from time to time. The latest version will be published on this page with the updated date.
The version in place at the time of purchase will usually apply to that purchase, unless a change is required by law, relates to security, protects intellectual property or is necessary for the proper operation of a product, platform or access system.
This agreement is governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, except where consumer law gives the right to bring a claim in another UK jurisdiction.
